Terms of Service

1. Services

MyBasic LLC provides web development, digital marketing, AI integration services, video production, business consulting, and related technology services to small and medium-sized businesses. The specific scope, deliverables, and timeline for each engagement are defined in a written project agreement or proposal provided before work begins.

We reserve the right to decline any project that conflicts with our values, exceeds our current capacity, or that we determine we are not the right fit to deliver. In such cases, we will refer you to other qualified providers whenever possible.

2. Payment Terms

All projects require a 50% non-refundable deposit before work commences. The remaining 50% is due upon project completion and before final deliverables or site launch. For larger projects ($5,000+), we may arrange milestone-based payment schedules, which will be defined in the project agreement.

All invoices are due within 14 days of receipt unless otherwise agreed in writing. Late payments may incur a 1.5% monthly interest charge. We reserve the right to pause work on any project where payment is overdue by more than 30 days.

Quotes and estimates are valid for 30 days from the date of issue. Prices may change after that period.

3. Intellectual Property

Upon receipt of full payment, the client owns all custom code, designs, graphics, and content created specifically for their project. This ownership transfers completely — you are free to modify, host, distribute, or resell the delivered work as you see fit.

MyBasic LLC retains all rights to:

• •Pre-existing proprietary tools, frameworks, and codebases developed before or independently of your project
• •General methodologies, approaches, and know-how
• •Third-party libraries and open-source software included in the project (governed by their respective licenses)

MyBasic LLC reserves the right to display completed work in our portfolio unless you request confidentiality in writing before project commencement.

4. Revisions & Scope

The number of revision rounds included in a project is defined in the project agreement. Revisions are changes to the agreed-upon deliverables — they do not include new features, additional pages, or changes that materially alter the project scope.

Requests that fall outside the original scope will be quoted separately and billed at our standard hourly rate or as a change order. We will always notify you before performing out-of-scope work.

Unused revision rounds do not carry forward to other projects and expire 90 days after project launch.

5. Client Responsibilities

Successful projects require collaboration. You agree to:

• •Provide content, assets, and approvals in a timely manner
• •Designate a single point of contact for project communication
• •Ensure that all content you provide does not infringe on third-party rights
• •Review and approve work within agreed timelines

Delays caused by client inaction may result in project timeline extensions and do not affect payment obligations.

6. Cancellation

Either party may cancel a project with written notice. If the client cancels:

• •The initial deposit is non-refundable in all cases
• •Any work completed beyond the deposit value will be invoiced at a pro-rated amount
• •All work completed to date will be delivered upon receipt of final payment

If MyBasic LLC cancels, we will refund any payment for work not yet completed and deliver all work completed to date.

7. Limitation of Liability

All services are provided for legitimate business purposes. MyBasic LLC is not liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or deliverables, including but not limited to lost profits, lost revenue, or loss of data.

Our total liability for any claim related to a specific project shall not exceed the total amount paid by you for that project.

We do not guarantee specific business outcomes, search engine rankings, or revenue results from our services, as these depend on many factors beyond our control.

8. Confidentiality

Both parties agree to keep confidential any proprietary business information, trade secrets, or sensitive data shared during the course of the engagement. This obligation survives termination of the agreement for a period of 3 years.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Cobb County, Georgia.

10. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated date. Your continued engagement with MyBasic LLC after changes are posted constitutes acceptance of the revised terms. For active project engagements, the terms in effect at project start apply for the duration of that project.
